本文作者超律志创始人律志先生我曾经在之前的文章中介绍到“提高翻译能力”（致法学生：如何提高法律英语翻译能力？）的问题诚如我之前所说，提高法律翻译能力绝非一朝一夕就能完成，而是需要长期的大量练习才能初有成效。

今天我想就英文合同的翻译，与各位探讨学习首先，必须要讲英文合同的基本结构考虑篇幅所限，我重点介绍英文合同的8个重点条款英文合同的重点条款一、定义条款在英文合同中，开篇明义，对合同可能涉及的主体、关键词等进行定义说明，以免引起纠纷。

举例说明：A ``Modified Version of the Document means any work containing the Document or a portion of it, either copied verbatim, or with modifications and/or translated into another language.

“修改版本”指的是任何包含文件或是它的其中一部份，不论是逐字的复制或是经过修正，或翻译成其它语言的任何作品二、保证条款英文合同高频条款，指双方所做出的陈述与承诺举例说明：The Supplier shall ensure the packaging materials provided comply with the requirement for transport and safety of the products, and shall take all appropriate precautious measures against damp, humidity, vibration and dust.  The products shall be packed by the means agreed upon by both parties. The Supplier shall be liable for any damages, losses from the products or any other losses arising from non-compliance with packaging specification.。

供方应保证所提供的包装物符合运输、产品安全的要求；供方应采用合适的安全措施，妥善包装货物，达到防潮、防湿、防震、防尘等要求；双方对包装方式另有约定的，应遵守双方约定；因包装不符合规定造成产品损坏、灭失或其他损失的责任由供方承担。

三、保密条款因合同是双方当事人的民事法律行为，具有很强的商业性，如有商业秘密泄露，可能会给其他各方造成巨大损失（尤其是知识产权合同），因此合同中约定“保密条款”举例说明：All the commercial secretes specified in this agreement are under the ownership of Party A, and Party B shall not apply for intellectual property rights by making use of learning about the commercial secretes of Party A it has learnt to any extent, those legally owned by Party B before signing this agreement excluded. 。

本协议规定的商业秘密所有权始终全部归属甲方，乙方不得利用自身对属于甲方商业秘密资料的不同程度的了解申请知识产权，在本协议签订前乙方已依法具有某些所有权者除外四、违约条款一方违反合同规定，违约方需对守约方承担相应的法律责任。

合同中对于违约事项一般会做具体的规定举例说明：Should party A fail, in accordance with the quality stipulations of contract, to effect delivery of ordered articles or implement the commission to party B, where party B agree to accept and utilize, the price concerned shall be subject to the quality and reduce in correspondence remuneration or price therewith, where party B refuse to accept, party A shall be liable for repair or replacement in addition to take the liability of overdue delivery. Provided that if though repair or replacement the delivery or commission of party A is still not conformity with contract stipulation, party B is entitle to accept and any loss shall be liable on party A.

未按合同规定的质量交付定做物或完成工作，乙方同意利用的，应当按质论价，酌减酬金或价款；不同意利用的，应当负责修整或调换，并承担逾期交付的责任；经过修整或调换后，仍不符合合同规定的，乙方有权拒收，由此造成的损失由甲方赔偿。

五、不可抗力条款合同约定：由于不可抗力事件而违约的一方，违约方可免于或减轻承担责任举例说明：In the event of Force Majeure, the Parties shall immediately consult with each other in order to find an equitable solution and shall use all reasonable endeavors to minimize the consequences of such Force Majeure.。

若发生不可抗力，双方应立即协商以寻求公平的解决办法，并应尽一切合理努力将不可抗力的后果减到最低程度六、弃权条款合同一方对于某些当前事项的放弃，并不意味着后续事项的放弃，仍然保留追究后续事项法律责任的权利。

举例说明：The waiver by either party of any breach of any provisions of this CONTRACT shall not be construed as a waiver of any subsequent breach of such provision or a waiver of the provision itself.

如一方违约，而另一方未予追究，并不意味着其放弃对违约方后续违约追究的权利，也不意味着放弃执行违约条款七、可分割性条款英文合同中某些条款的无效，并不影响其他条款的无效，其他合同效力不受影响，也被称为“独立性条款”。

举例说明：The illegality, invalidity or unenforceability of any provisions of this CONTRACT shall not impair, invalidate, or affect the other provisions of this CONTRACT.

本合同某一条款无效、不可执行或与法律冲突，不应损害、中止或影响本合同其它条款的执行八、争议解决条款合同发生纠纷，协商，诉讼还是仲裁？诉讼和仲裁的地方选在哪里？举例说明：Any dispute arising under this Contract shall be solved by friendly negotiation. In case negotiation fails, it shall be submitted to China Maritime Arbitration Commission (CMAC)     Commission, for arbitration in accordance with its rules in effect at the time of applying for arbitration. The arbitral award is final and binding upon both parties.。

本合同项下产生的任何争议，双方应友好协商协商不成，应提交中国海事仲裁委员会仲裁，仲裁地为    ，根据该会的仲裁规则进行仲裁仲裁裁决是终局的，对双方都有约束力.当然，英文合同还有其他条款，在此，不做更多赘述。

同学们可以先翻译这个句子，不要看答案，看答案后再去做翻译就没意义了。翻译后再看我的解析部分。

 翻译解析：这句话是出现在合同法中的“排他性”条款“排他性”条款是指合同双方在合同中约定，合同一方给予合同另一方一种排他性权利（如独家代理权），合同另一方依赖于该排他性条款限制其他对手的进入这句话句子较长，句子结构理解也有一定难度。

我们具体分析：我们通读全文，找到了几个关键词：Exclusivity Period，disclose，announcement似乎本句是在讲“排他、披露、宣告”这些看不懂的东西弱弱地帮你问一句：这些都是些啥？。

我在法律翻译教学中，多次给大家讲过“法律翻译三步法”问题，这“三步法”是做法律翻译最好的捷径这“三步法”怎么用呢？第一步，找出主谓宾这句话的主谓宾隐藏很深，找起来并不容易“neither Party ”是这里的主语之一。

还有一个并列 的主语就是：“each （Party）”，其中“each will procure that……”中 that 后面有一个宾语从句要注意的是：这里的“disclose the existence or terms or make any announcement ”既充当了“neither Party……”中的谓语和宾语，也充当了宾语从句“ its affiliates, advisors and 。

representatives do not……”中的谓语和宾语我们改写这句话：改写一：neither Party shall disclose the existence or terms or make any announcement.。

改写二：each（party） will procure that its affiliates， advisors and representatives do not, disclose the existence or terms or make any announcement.

原文将改写的两句话进行了简化，合并到一起，就变成：neither Party shall, and each will procure that its affiliates, advisors and representatives do not, disclose the existence or terms or make any announcement.

这句话如何翻译？“procure”在这里理解为“取得，引起，导致，使得”之意，“each will procure that” 指“每一方都取得/导致/引起/使得……”，“its affiliates, advisors and representatives”中“its”是指 “party”，“affiliate”在合同法中一般翻译为“关联公司”， “advisors and representatives”理解为“顾问和代表”。

“ disclose the existence or terms or make any announcement”中的“ existence or term”翻译要格外注意在我们之前学习中，我们理解。

“term”是“期限”和“条款”的意思，但在这里这样理解，似乎不符合语境“存在或期限”或者“存在或条款”？似乎逻辑上都说不通所以，这里的翻译要考虑语境，将“existence or term”理解为“成立或条件

”这样逻辑上就说得通指：本合同的成立或条件“make an announcement ”理解为“做宣告，公开宣布”完整的翻译为：任何一方都不得，且任一方都应使其关联公司、顾问或代表不得披露（本合同）的成立或条件，也不得公开宣布。

第二步，补充其他句子成分“During the Exclusivity Period”这里表示“在排他性期间”“of this Contract or the Transaction to anyone”。

联系“the existence or terms”表示“向任何（披露）本合同或交易的成立或条件”“in connection therewith”表示“与此有关”其中“therewith”理解为“与此”，即“与本合同或交易的成立或条件有关”。

“without the prior written consent of the other Party”表示“未经另一方事先书面同意”其中介词短语“without the prior written consent of”表示“未经……事先书面同意”，记住这个短语，合同中 出现频率较高。

第三步，调整语序，使之符合中文表达习惯这句话翻译语序调整要按照中文表达习惯来，介词短语必须往前调（英文中，介词短语往往后置）， 即“在此排他性期间，未经另一方事先书面同意，任何一方都不得……”“or make any 。

announcement in connection therewith……”用“也不得……”来连接，使得中文更为通顺原文的完整翻译为：在此排他性期间，未经另一方事先书面同意，任何一方都不得，且应使其关联公司、顾问或代表不得对本合同或交易的成立或条件向任何人进行披露，也不得对与此有关的进行公开宣布。

翻译仅做参考，没有标准答案练习原文2：Failure by any party to enforce the performance by the other parties of any of the provisions of this agreement shall neither be deemed a waiver by it of its rights hereunder,nor shall it affect the validity of this Agreement in any way. Any waiver by a party for a breach of any provision of this Agreement on the part of the other parties shall not constitute a precedent to any 。

subsequent breach of such provision of a waiver of the provisions itself.同学们可以先翻译这个句子，不要看答案，看答案后再去做翻译就没意义了。

翻译后再看我的解析部分

翻译解析：我们通过句号看出，这里有两句话我们一一进行解析：第一句话：Failure by any party to enforce the performance by the other parties of any。

of the provisions of this agreement shall neither be deemed a waiver by it of its rights hereunder,nor shall it affect the validity of this Agreement in any way.

第一步，找出主谓宾最大的困难：句子的主谓宾根本找不到好多介词串起来，找不到主谓宾了这 里有一个小技巧与大家分享句子介词较多的情况下，可以用删除法，把这些介 词暂时删除去找主语（主语找到了，谓语和宾语就容易了）。

“by any party”删除，“to”这里要不要删除？联系上文，可以看出这里的“to”跟在“failure” 后面，不要删除，否则影响单词理解我们继续读下去，“by the other parties” 删除，“of any of the provisions of this agreement”这个部分也全部删除，全是跟在介词后面。

“shall”，是不是很熟悉了，“shall”一般前面是要有主语的，表示“具有……义务”到此，我们通过前面的删除法，已经基本锁定这句话主语：Failure to enforce the performance

所以，这句话主谓宾是：Failure to enforce the performance shall neither be deemed a waiver……nor affect the validity.翻译这句话是“没有要求履行（的规定）不得被视为弃权，也不得影响效力。

”第二步，补充其他句子成分“by any party”表示“任何一方”，“by the other parties”表示“其他方”，“of any of the provisions of this agreement”，可以理解为“本协议中的任何规定”。

这里第一个“of”是跟“performance”后面，即“performance of any of the provisions of this agreement”原意理解为“本协议中的任何规定的履行”，这句话十分绕口，可以将“performance ”名词转化为动词（词性的转化在法律英语中较为常见，需要熟练掌握），即“履行本协议中的任何规定”。

“by it of its rights hereunder”，联系“deemed……by”，很显然这是个被动语态， 其中：“it”指代“any party ”，则“ its rights”即是这一方的权利。

“hereunder”在前面应该有介绍过：类似“here+介词” 和“there+介词”，如 herein, hereof, hereby, hereto, hereunder, therein, thereof, thereby, thereunder 等其实很简单，只要倒置过来即可，变成 in here, of here, in there…即可。

这里的“here”理解为“this agreement”、“this contract” 等即可，即“herein”相当于 in this agreement、“hereto”相当于 to this agreement , 以此类推。

“nor”部分在前面，句子进行了倒装，原句是“it shall not affect the validity of this Agreement in any way”其中，“in any way”表示“以任何方式”，指“它不得以任何方式影响本协议的效力”。

这里的“it”指代什么？根据上文语境，可以得知，it 指代前面的主语“Failure to enforce the performance”即“没有要求履行（的规定）也不得以任何方式影响本协议的效力”第三步，调整语序，使之符合中文表达习惯。

这句话完整的翻译为：任何一方没有要求其他方履行本协议中的任何规定，不得被视为该方放弃其在本协议下的权利，也不得以任何方式影响本协议的效力第二句话：Any waiver by a party for a breach of any provision of this Agreement on the part of the other parties shall not constitute a precedent to any subsequent breach of such provision of a waiver of the provisions itself.。

第一步，找出主谓宾介词依然很多，理解起来困难，继续使用我分享的小技巧“删除法”，“by a party”删除，“for a breach of any provision of this Agreement ”删除，“on the part of the other parties”删除。

如此，这句话的主语只剩下“Any waiver”，句子一下子简单多了所以，切记：介词较多，不知道如何分析句子，可以通过“删除法”去找主语主语找到了，你句子的理解才不会偏差这句话主谓宾是：Any waiver shall not constitute a precedent……。

中文翻译为“任何弃权并不构成先例”看到这， 对比你的翻译，你的主谓宾找对了吗？第二步，补充其他句子成分“by a party”表示“一方”，“ for a breach of any provision of this Agreement”，原意为“本协议任何规定的违反”，读起来十分别扭，此时再次转化词性（再强调一下，词性转化在法律英语中十分常见，注意理解），翻译为“违反本协议任何规定”。

“on the part of the other parties ”表示“其他方”“precedent to ”表示“……的先例”“any subsequent breach of such provision of a waiver of the provisions itself.”其中 “itself”指代“ waiver ”本身，这句话理解为“以后违反弃权条款”。

“such provision” 特指“弃权条款”，“a waiver of the provisions ”指代合同法所有条款的一个弃权条款如果直译翻译起来非常啰嗦，所以，化繁为简，直接理解为“违反弃权。

条款”第三步，调整语序，使之符合中文表达习惯这句话完整的翻译为：一方对于其他方违反本协议任何规定的弃权并不构成以后违反弃权条款的先例 本段完整的翻译是：任何一方没有要求其他方履行本协议中的任何规定，不得被视为该方放弃其在本 协议下的权利，也不得以任何方式影响本协议的效力。

一方对于其他方违反本协 议任何规定的弃权并不构成以后违反弃权条款的先例翻译仅做参考，没有标准答案上面两个例子只是小试牛刀，英文合同的翻译，需要长时间积累练习，只有经过大量翻译练习，英文合同翻译才会有所精进。
